Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the H2H DigitalRx e-prescribing platform, websites, APIs, and related services (collectively, the "Services") provided by H2H Solutions, Inc. ("H2H", "we", "us"). By creating an account, signing an order form, or otherwise using the Services, you agree to these Terms on behalf of yourself and the organization you represent.

1. Description of the Services

H2H DigitalRx is a cloud-based, Surescripts-certified electronic prescribing platform that enables licensed prescribers and their authorized staff to create, transmit, and manage prescriptions, including controlled substances (EPCS), real-time benefit and formulary checks, electronic prior authorization, PDMP queries, and related clinical workflows. The Services may be used stand-alone or integrated into a third-party EMR, EHR, or health-tech platform.

2. Eligibility, Accounts & Credentialing

You must be a licensed healthcare provider or an individual authorized to act on behalf of a provider or covered entity to use the Services. You are responsible for the accuracy of registration information, for maintaining the confidentiality of your credentials, and for all activity under your account. Prescribers of controlled substances must complete identity proofing and two-factor authentication in accordance with DEA requirements before using EPCS functionality.

3. Fees, Billing & Payment

Fees are charged per license on a monthly or annual basis as selected at sign-up, plus applicable taxes. Unless otherwise stated in an order form, subscriptions renew automatically for successive terms. You authorize H2H to charge your designated payment method for all fees due. Fees are non-refundable except where required by law or expressly stated in a signed agreement.

4. Acceptable Use

You agree not to:

  • use the Services for any unlawful purpose or to issue prescriptions without a valid clinical relationship;
  • share credentials, circumvent authentication, or allow unauthorized persons to prescribe;
  • interfere with, reverse engineer, or attempt to gain unauthorized access to the Services or their security controls;
  • upload malicious code or use the Services in a way that degrades performance for other users.

5. Regulatory Compliance

You are responsible for using the Services in compliance with all applicable laws and regulations, including the Controlled Substances Act, DEA electronic prescribing requirements (21 CFR Part 1311), state pharmacy and PDMP mandates, and the Health Insurance Portability and Accountability Act (HIPAA). H2H maintains its Surescripts certification and platform-level controls, but clinical and prescribing decisions remain your sole professional responsibility.

6. Protected Health Information

To the extent H2H processes Protected Health Information (PHI) on your behalf, H2H acts as a Business Associate. Such processing is governed by our Business Associate Agreement and our Privacy Policy, each incorporated into these Terms by reference.

7. Third-Party Services

The Services rely on third parties such as the Surescripts network, pharmacies, payers, and PDMP data sources. H2H is not responsible for the availability, accuracy, or acts of these third parties, and your use of the Services may be subject to their respective terms.

8. Intellectual Property

The Services, including all software, content, and trademarks, are owned by H2H or its licensors and are protected by intellectual-property laws. H2H grants you a limited, non-exclusive, non-transferable right to use the Services during your subscription term. No other rights are granted.

9. Disclaimers & Clinical Responsibility

The Services are decision-support tools and do not constitute medical advice. Clinical alerts, adherence predictions, and AI-generated drafts are informational and require review and confirmation by a licensed prescriber. The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law.

10. Limitation of Liability

To the maximum extent permitted by law, H2H will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. H2H's aggregate liability arising out of or relating to the Services will not exceed the fees you paid to H2H in the twelve months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless H2H and its affiliates from claims, damages, and expenses arising out of your use of the Services, your prescribing decisions, or your breach of these Terms or applicable law.

12. Term & Termination

These Terms remain in effect while you use the Services. Either party may terminate as set out in the applicable order form. H2H may suspend or terminate access for non-payment, breach, or where required to protect patient safety or comply with law. Upon termination, your right to use the Services ends; handling of PHI following termination is governed by the Business Associate Agreement.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Services or by email. Continued use after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules. The exclusive venue for disputes will be the state and federal courts located in Oakland County, Michigan.

16. Billing Terms Calendar-Month Subscriptions

Subscriptions are billed by calendar month and charged on the 1st of each month. There is no proration: a purchase made on any day charges the full fee for the current calendar month, and the next charge occurs on the 1st of the following month. If you sign up on or after the 22nd of a month, you may instead elect to start your subscription on the 1st of the next month, in which case no charge is made today and access begins on that date. The billing option you select and your acknowledgment of it are recorded (see the Privacy Policy).

17. Changes to Licenses

Increases or decreases to license quantities or tiers take effect on the 1st of the month following your request, in both directions. Charges on the following 1st reflect the changed configuration. No mid-month proration is applied to license changes.

18. Seven-Day Mistake-Correction Policy

If a license or capability was purchased in error and has not been used, you may contact support within seven (7) days of the charge to have the unused capability voided and the corresponding amount refunded. This policy is a limited exception to the non-refundable nature of fees and does not apply to capability that has been activated or used.

19. Non-Payment, Grace Period & Suspension

If a renewal charge on the 1st is unsuccessful, the following applies, with all dates communicated in advance:

  • Days 1โ€“7: full access continues, with a notice that payment was unsuccessful and the date prescribing will be paused.
  • Days 8โ€“14: each user must acknowledge a daily notice at sign-in stating the exact suspension date and what will and will not be affected.
  • Day 15: prescribing is suspended. Suspension blocks only creating new prescriptions, adding new patients, and assigning new seats. It never blocks viewing patient records, viewing prescription history, exporting data, or responding to pharmacy refill requests already received.

Payment of the outstanding amount at any point restores prescribing immediately.

20. Termination for Continued Non-Payment

If an account remains suspended for ninety (90) days, it is terminated. Following termination, records remain retrievable on request as described below.

21. Data Requests & Retention

You may export your data at any time while your account is active or suspended. After termination, records remain available on request; H2H commits to fulfilling a valid data request within thirty (30) days. Prescribing and controlled-substance records are retained for seven (7) years in accordance with applicable law, after which they are securely destroyed.
